STATE OF TEXAS 0
0
COUNTY OF LUBBOCK 0
THIS AGREENEW made and entered into this 28th day of February, A. D. 1952, by and between
WEST TEXAS GAS COMPANY, a corporation, hereinafter called "Seller", and CITY OF LUBBOCK, a
municipality, hereinafter called "Purchaser".
W I T N E S S E T Ht
1. Purchaser agrees to purchase and receive from the Seller, and Seller agrees to sell and
deliver to the Purchaser at various locations in the City of Lubbock, Lubbock County, Texas, for
five 5 consecutively yearly periods, as hereinafter defined, natural gas in quantities needed by
Purchaser for fuel at its municipal buildings within the City of Lubbock and for the operation of
gas engines and boilers at Purchaser's municipal power plants, but not less, in any event, than a
minimum of one billion (1,000,000,000) cubic feet of gas during each yearly period; provided, how-
ever, that either the Seller or Purchaser may cancel this Contract at the end of any yearly period
after the first year by giving the other party written notice thirty days prior to the end of such
yearly period; provided, however, that the Seller shall never be required to extend its lines a
greater distance than one hundred fifty (150) feet to reach any point of delivery designated under
the terms of this Contract.
2. The Purchaser agrees to pay for the gas so delivered at the following rates:
(a) Thirteen (13) cents for all gas used during the calendar months of November,
December, January, February, March and April. '
(b) Thirteen (13) cents for all gas used during the months of May, June, July,
August, September and October. However, if the Purchaser receives during any
of these months gas in excess of the average monthly consumption for the pre-
vious months of Novembe , mkM7, February, March and April, then the price
to be paid for that quantity of gas received in excess of the determined average
shall be reduced by one and one-half (1j) cents per one thousand (1,000) cubic
feet.
3. The rate hereinabove stated is made upon the express agreement of the Purchaser to take
and pay for the minimum amount of gas hereinabove stated. If Purchaser, during a yearly period,
purchases less than the minimum quantity of gas hereinabove stated, Purchaser shall be required
to pay at the rate of thirteen (13) cents per one thousand (1,000) cubic feet for an additional
volume of gas, which added to the amount delivered, will equal the minimum volume agreed upon,
and such additional payment shall be made within fifteen (15) days after the end of each yearly
period; provided, however, that if, as hereinafter provided, the Seller shall interrupt service
to the Purchaser, then and in such event the Purchaser shall be entitled to deduct from the said
minimum of one billion (1,000,000,000) cubic feet, one three -hundred -sixty-fifth (1/365th) of the
one billion (1,000,000,000) cubic feet for each day on which said service shall have been so
ihterrupted by the Seller; and provided, however, that if breakdown in machinery or other causes
beyond the control of and occurring without negligence on the part of Purchaser render operation
of said plant impossible, and Purchaser be thereby prevented from operating said plant for any
period of time during the life of this contract, then and in such event the Purchaser shall be
entitled to deduct from the said minimum of one billion (10000,000,000) cubic feet, one three -
hundred -sixty-fifth (1/365th) of the one billion (1,000,000,000) cubic feet for each day that
said power plant cannot be operated on account of such cause or causes; it being agreed, however,
that Purchaser will, in such event, use all reasonable diligence to remove said cause or causes
and place said plant in operation at the earliest practicable time.
4. It is understood and agreed that the price for gas hereinabove provided is, and shall be,
subject to adjustment from time to time during the term hereof to reflect the full amount of any
increase or decrease in the present rates of severance and/or gross production and/or receipts
and/or excise taxes of any nature whatsoever which may be imposed, levied or assessed by any
governmental authority upon the gas, or measured by the gas, to be sold or sold hereunder,
whether paid directly or indirectly by the Seller; likewise, said price shall be subject to ad-
justment for any new tax similar in character to those named above which may be levied or assessed
by any governmental authority upon said gas whether paid directly or indirectly by the Seller;
provided, however, that this provision shall not be applicable to any excise or other tax assess-
ed against and paid directly by Purchaser. Applicable rulings or orders of governmental repre-
sentatives in charge of the administration of any law or ordinance increasing, decreasing or
creating any such tax shall be binding and conclusive upon Purchaser until such time as the in-
validity thereof has been finally established by the decision of a court of competent jurisdiction.
5. In the everit a minimum wellhead o field price is fixed by law or governmental regulatory
authority in the Panhandle Field of Texas the prices provided for above shall be subject to upward
adjustment by Seller; provided, however, that before any increase shall become effective pursuant
to this paragraph Seller shall give Purchaser 30 days' prior written notice and in the event
Purchaser does not desire to accept such increase it may cancel this agreement by giving Seller
written notice at least five days prior to the effective date of such increase. In the event
of such cancellation by Purchaser it may, at its option, purchase gas from Seller under any
of'Seller's industrial rate schedules applicable to Purchaser's usage.
6. It is understood and agreed the term "cubic foot", as herein applied to volumes of
gas delivered hereunder, shall mean a cubic foot of natural gas at a base temperature of
sixty (60) degrees Fahrenheit and a base pressure of eight (8) ounces gauge pressure above
thirteen and one -tenth (13.1) pounds absolute atmospheric pressure and the readings and
registrations oftie metering equipment herein provided for shall be computed into such
units. It is further agreed and understood that for the purpose of measurement, the gas
sold and delivered hereunder is assumed to obey Boyle's Law except, however, that compen-
sation for super -compressibility shall be made, and that the average absolute atmospheric
(barometric pressure is assumed to be thirteen and -one -tenth (13.1) pounds to the square
inch, irrespective of the actual elevation of location of the delivery point above sea
level or of variations in such barometric pressure from time to time. If meters other
than the orifice type are used, then in computing the readings and registrations of such
metering equipment into the above units specified and the physical characteristics of the
natural gas which affect such computation shall be given each their due consideration, and
the determination of such physical characteristics shall be made by standard apparatus and
methods and at such time and places as, in accordance with good and common practice, may be
agreed upon from time to time between the Seller and Purchaser. For meters of the orifice
type the following factors shall be given due consideration:
(a) In the event that a recording thermometer is not installed the temperature
of the natural gas flowing through the meters shall be assumed to be sixty
(60) degrees Fahrenheit regardless of the actual temperatures at which de-
liveries are made. If a recording thermometer is installed the tem erature
of the natural gas flowing through the meters -on any twenty four (27 hour
day shall be assumed to be the average temperature recorded for such day and
shall be used in computing measurement.
(b) The specific gravity of the natural gas shall be determined either by an
Edwards type gas balance or other standard type instrument, or at the option
of the Seller, a recording gravitometer of standard manufacture acceptable
to both the seller and Purchaser, and so installed by the Seller that the
specific gravity of the natural gas will be determined. If the Edwards type
balance is used the gravity tests shall be made at least once each month and
on days as near the first of the month as practicable, the gravity so deter-
mined shall be used in the computations for the measurement of natural gas
delivered during the calendar month. If a recording gravitometer is used the
average of the twenty four (24) hour record from the recording instrument shall
be deemed to be the specific gravity of the gas for that day.
7. Seller shall render to Purchaser, on or before the tenth (loth) day of each month a
statement of the amount of natural gas delivered to Purchaser during the calendar month
immediately preceding and of the payment or payments then due from Purchaser to Seller there-
for. Purchaser rees to pay Seller at its office in Lubbock, Texas, on or before the
twentieth (20th // f each month for natural gas delivered during the preceding month accord-
ing to the gas beasurements and computations and at the price hereinabove provided and
billed on said monthly statement. Should Purchaser fail to pay amount due and such failure
to pay continues for thirty (30) days, then the Seller may suspend deliveries for natural
gas, but the exercise of such right shall be in addition to any and all other remedies
available to the Seller. Overdue accounts shall bear the legal rate of interest from date
due until paid.
g. The gas hereunder shall be delivered through a meter or meters furnished and installed
by the Seller on the Purchaser's premises at a location to be mutually agreed upon. Sufficient
space for such meter or meters and regulators, if required, to be furnished free by the
Purchaser. At the point where delivery of natural gas is made hereunder for the opepations
of gas engines and boilers -at Purchaser's municipa4?po r plants.. Seller has furnished and
installed, and will operate and maintain, at its own expense, a regulating and measuring
station properly equipped with orifice meters and recording gauges of standard style as have
been mutually agreed upon, the measurements of which shall fix the total amount of gas de-
livered by Seller to Purchaser's municipal power plants.
The regulating and measuring equipment so installed by Seller shall remain Seller's
property. Purchaser shall have access to said metering equipment at all reasonable times,
but the reading, calibrating and adjusting thereof and changing of charts shall be done only
by the employees or agents of the Seller. Charts and records from such metering equipment
shall remain the property of Seller. Upon request of Purchaser, Seller will submit to
Purchaser records and charts from its metering equipment, together with calculations there-
from, for Purchaser's inspection and verification, subject to return by Purchaser, within
ten (10) days after receipt thereof, after which return the charts and records shall be kept
on file by Seller for the mutual use of both, parties for a period of two years; after said
period of two years.. Seller may destroy said charts.
9. At least once each month and on days as near the first of the month as practicable,
Seller shall calibrate its meters deliver** gas hereunder to Purchaser's municipal power
plants in the presence of representatives of Purchaser, and the parties shall jointly observe
any adjustments which are made in the meter or meters, should such adjustments be necessary.
If upon any test any metering equipment is found to be inaccurate by three (3) per cent or
more, registrations thereof shall be corrected at the rate of such inaccuracy for any period
which is definitely known and agreed upon, otherwise corrections shall be made for a period
extending back one-half (J) of the time elapsed since the last date of calibration, not ex-
ceeding, however, fifteen (15) days.
Following any tests, metering equipment found inaccurate shall immediately be restored
as closely as possible to a condition of accuracy. If for any reason meters are out of
service and/or out of repair so that the amount of natural gas delivered cannot be ascer-
tained or computed from the reading thereof, the natural gas delivered through the period
such meters are out of service and/or out of repair shall be estimated and agreed upon by the
parties hereto upon the basis of the best data available, using the first of the following
methods which is feasible:
(a) By correcting the error if the percentage of error is ascertainable by calibration,
test or mathematical calculation.
(b) By estimating the quantity of delivery by deliveries during preceding
periods under similar conditions when meter was registering accurately.
10, It is agreed and understood that in the event of the destruction of the municipal build-
ings or power plants by fire, riot, insurrection, act of God, or other causes beyond the control
of Purchaser, or in the event of the sale of the property or business conducted therein, Purchaser
may at Purchaser's option, and upon tr,irty (30) days written notice., cancel this contract upon the
payment for all gas delivered prior thereto and without regard to the minimum requirement provision.
11, The Purchaser is acquainted with the great variation from time to time of the pressure
of the gas in the lines of the Seller and Purchaser assumes all risks to Purchaser's operation
growing out of the same. It is agreed and understood that the supply and delivery of gas from
Seller's lines as contemplated by this contract is not within the objects or purposes of Seller
in constructing, maintaining and operating said lines, but is merely incidental to the construc-
tion, maintenance and operations of such lines to furnish domestic and commercial service in
cities and towns connected to its system. It is agreed and understood, therefore, that the
Seller is not obligated to make deliveries of gas to Purchaser at pressures in exdess of those
existing from time to time in its lines at point of delivery hereunder, and Seller reserves the
right, without notice, except as hereinafter provided, to cut off or reduce the supply of gas
under this contract at any time or from time to time for any of the following causes: Acts of
God, the elements, strikes, lock -outs, fixes, accidents, breakage or repairs of pipe lines or
machinery diminution or depletion of gas supply, requirements of consumers on the Seller's General
Service Rate and Regular Industrial Service Rates, order of governmental authority, or other
causes or contingencies beyond the control of and occuring without negligence on the part of
the Seller. The Seller shall be the sole and exclusive judge as to the necessity or desir-
ability of cutting off or reduci.ng the supply or gas hereunaer irom lame L.o i,i,nG, asaz Lill=
t
exercise of this right shalt be the basis for claims for damages sustained by either party
when due to any of the above causes. If an interruption in or curtailment of deliveries to
Purchaser shall become necessary or advisable for any of the reasons above stated, the Seller
shall at once notify Purchaser by telephone or telegraph of the nature, extent and probable
duration of such interruption or curtailment. The Seller shall resume deliveries and Purchaser
shall receive gas when such causes or contingencies shall cease to be operative an4, to the ex-
tent possible, the Seller shall give Purchaser advance notice as to the time when it is expected
deliveries will be resumed. Nothing herein contained shallP or shall be constructed to, obligate
or require Seller to enlarge, extend or otherwise add to its pipe line facilities or other pro-
perties in order to supply the requirements of Purchaser hereunder. The notices hereinabove
provided for shall be given by Seller to Purchaser at Lubbock, Texas.
1-2. As between the parties hereto, the Seller shall be in control and possession of the
natural gas deliverable hereunder and responsible for any damages or injuries caused thereby
until the same shall have been delivered to the Purchaser at the point of delivery, after which
delivery the Purchaser shall be deemed to be in exclusive control and possession thereof and
responsible for any such damages or injuries. 1952
13. This contract is for a period of five (5) years, commencing on January 24 and ending
on January 23, 1957, it being understood that this contract and all provisions thereof shall be
subject to any and all lawful orders made by any legally constituted regulatory body of the State
of Texas or the United States having authority to deal with the subject -matter hereof.. Wherever
the term "yearly period" is referred to herein, it shall be deemed to apply to the period from
January 24th, of any year to and including January 23rd in the following year.
14. This contract is assignable, and is subject to all of the provisions of the applicable
franchise, if any, under which the Seller operates, and is subject to the Rules and Regulations
of the Seller, now or hereafter promulgated, so far as same do not conflict with this contract,
a copy of which Rules and Regulations is attached hereto,
