City of Lubbock
City Hall
Lubbock, Texas
RE: Purchase of Memorial Park of Lubbock property
Dear Sir:
We have discussed the matter of your purchase of the property of Memorial
Park of Lubbock with your cemetery board.
It is our understanding that as a result of the negotiations it was tenta-
tively agreed, subject to the action of the City Commission, that the land owned
by Memorial Park of Lubbock and being about 12.6 acres of land out of Survey 3, in
Block B and about 11.33 acres out of Section 4, said Block in Lubbock County,Texas
and all miscellaneous machinery, fixtures and equipment, maps, records, plats, buri
lists, etc., all of which are now in the possession of Mr. Parker. Also the Per-
petual Care Fund in the sum of approximately $19,000.00 which is now on deposit
with the Lubbock National Bank of this city, be conveyed to the City.
In this connection we will state that this property has been opamted by Memo*
rial Gardens Service Company and Memorial Gardens Association during which operation
various sales of burial spaces and crypts were sold and notes ad contracts executed
in connection therewith. All of these matters have been assigned to the Memorial
Park of Lubbock under a contract which generally provides that Memorial Palk of
Lubbock assumes all the responsibilities of the contracts and the responsibility
of collecting the notes and remitting the amounts collected less the five per cei
collection fee to the Memorial Gardens Association; and this contract and the
rights thereunder be transferred and asagned to the City of Lubbock with the City
assuming the obligations thereunder. In this connection we will state that be-
fore making this deal with Memorial Gardens Association, we went over the entire
transaction with Mr. Parker and he is fully aware of every situation with respect
thereto.
The consideration for the land, subject to previous sales of burial spaces
etc., the Perpetual Care Fund and -all those other things mentioned herein was
placed at $25,000.00 to be paid by the City to Memorial Park of Lubbock in three
payments, that is, one-third cash and one-third payable in one and two years
after date and deferred payments to bear 4-1/2% interest per annum .
We are authorized by Memorial Park of Lubbock to submit this as an offer.
Yours very truly,
MCWHORTER, COBB AND JOHNSON
